The deal, in plain words.
These terms cover the free tools on this site and the paid desks. They are written to be read, not to hide behind. Where something is a real limitation, it says so.
Who you are contracting with
Prometheus Agency · Owen Tallon, Spanish tax ID (NIF) 43574035Y, Carrer de la Creu Coberta 43, 08014 Barcelona, Spain. Contact [email protected]. Using the site means accepting these terms. If you are buying on behalf of a company, you confirm you may bind it.
The free tools
The checkers and the reference pages are provided as is, without warranty of availability or fitness for a particular purpose. They read third-party public registers that we do not control and that can change, lag or go down. Do not use them as your only source for a decision that matters.
The paid desks
What each plan includes and its turnaround is stated on its own page at the time it is agreed. For the EUDR desk: a one-off Evidence Pack (up to 500 parcels, delivered within 5 business days), a monthly Screening subscription (up to 200 parcels per month, evidence retained for 5 years) and a Compliance plan that additionally prepares due diligence statements and can file them as your authorised representative under a written mandate.
What you provide: accurate parcel coordinates or polygons and the right to process them. Our output is only as good as the geometry you send; garbage coordinates produce a useless verdict, and we will tell you when that happens rather than dressing it up.
What we do not promise: that you are compliant with any regulation. Compliance is an obligation on you as operator or trader. We screen against named official datasets and hand you documented evidence; legality-of-production checks and the statement you sign remain yours. Nothing we produce is legal advice.
Accessibility audits and remediation
What the service is. A review of a live website against the WCAG 2.2 Level AA success criteria and, where remediation is agreed, changes made in the source code of your own theme. We do not install, sell or recommend an accessibility overlay, a widget or an automatic fixing script. The scope is agreed in writing before anything starts and is defined by templates and shared components rather than by the number of URLs: pages generated from the same template are treated as one item, and templates that are not in use are excluded unless they share a component with one that is.
What an audit delivers. A written report listing each issue found, the WCAG success criterion it fails, the component or element it lives in, and what has to change. It combines an automated pass (axe-core) with testing done by hand: keyboard operation and focus order, and a screen reader pass using NVDA on Windows with Chrome and Firefox. An automated engine only reaches a part of the success criteria, which is why the hand testing is part of the audit and not an extra. The report states which findings came from which method, and states plainly what could not be reached or reproduced instead of leaving the gap unmarked.
What remediation delivers. The code changes themselves in your theme, a re-test of every issue after the fixes are in place, and a written validation record saying what was found, what was changed and what the re-test showed. The re-test repeats the same methods as the audit, including the keyboard pass and the screen reader pass with NVDA, so the record covers what a machine measured and what a person operated. Where something cannot be fixed inside your theme we say so, say who can fix it, and it stays outside the price.
What you provide. Access to the theme, or the ability to apply a patch we hand you; a staging or preview copy where one exists; and one named person who reviews and signs off. Time spent waiting for access or for sign off is not time we can compress afterwards.
What is not included, unless a written quote says otherwise: a hosted checkout we cannot edit (on Shopify, the checkout itself outside Shopify Plus); third-party apps and embedded widgets, which their vendor has to fix or you have to replace; PDFs, video captions and audio description; content published after delivery; native mobile apps; and translation of your content. Nothing we produce is legal advice and we do not represent you in a dispute.
Timing. A turnaround printed on the page for a fixed deliverable, such as an audit, is a commitment. A remediation date is agreed in writing for each engagement and depends on when access and review reach us from you. If a date comes under threat we tell you the day we know, not on the day it passes.
Price. The price published for the agreed scope is firm and does not move upward. Where a page publishes a range, the written quote fixes a single figure or a ceiling, and that ceiling does not move. Anything outside the agreed scope is quoted separately and is only done once you accept it.
What we do not promise: that you comply with the ADA, the European Accessibility Act, EN 301 549, Section 508 or any other law, or that no claim will be brought against you. What we report is conformance measured against named success criteria, on named templates, on a named date, and that is what the report and the validation record say. Sites move: a theme update, a new app or a page your own team publishes can put a barrier back the day after we finish.
Payment, tax and cancellation
There is no payment gateway on this website and no checkout on any page. Nothing can be bought here. Work is agreed by email first: we put the scope and the price in writing, you accept it in writing, and only then does the work start.
The published price is firm. Where a page publishes a price or a top of range for a service, that is what the agreed scope costs. We do not add a percentage at the end and we do not revise it upwards once the scope is accepted. If you ask for something outside the agreed scope, we quote it separately in writing and you decide before any of it is done.
Tax. We are established in Spain. For a business customer established outside Spain the place of supply of these services is where the customer is, so no Spanish VAT is added to the price (arts. 69 and 70, Ley 37/1992, and the invoice states the reason). A customer established in Spain is charged Spanish VAT on top of the published price. Either way the amount is stated in writing before you agree, never afterwards.
Invoicing. We invoice against delivery, not in advance, unless a page for a specific service says otherwise and you have accepted it in writing. The invoice carries the payment instructions.
Where a page offers a subscription, it renews until you cancel; you can cancel at any time and it takes effect at the end of the period already paid for. Refund rules live on the refunds page and form part of these terms.
Your data and ours
Your parcel data and documents stay yours. We process them to deliver the service and to keep the evidence you paid us to retain; we do not resell them or use them to train anything. The reports, tools, code and page content are ours: you may use and forward the reports freely inside your organisation and attach them to your own filings, but not resell them as a product.
Liability
We are a small provider and we price accordingly, so our liability is limited to the amount you paid us in the previous 12 months, and we are not liable for indirect or consequential loss such as fines, lost profit or business interruption. Nothing here limits liability that cannot be limited by law, including fraud, gross negligence or death and personal injury.
Changes, law and disputes
We may update these terms; the date at the top changes and material changes are emailed to active customers before they take effect. Spanish law applies and the courts of Barcelona have jurisdiction. If you are a consumer, your statutory rights and the courts of your own country of residence are unaffected.
Plain-language note: these terms were drafted in house to be readable. If you need a signed contract, a DPA or a supplier form filled in, ask and we will do it.
